1. Provider and scope of these terms
1.1 The service under the OmniCore Vision brand is provided by Ladislav Blecha, Identification No. (IČO) 01670816, with registered office at Hlohová 367, 326 00 Letkov, Czech Republic, a natural person carrying on business and entered in the Trade Licensing Register (živnostenský rejstřík) (the "Provider"). Contact e-mail: info [at] omnicore [dot] vision. Website: https://omnicore.vision.
1.2 These terms of business apply only to clients ordering the service in the course of their business activity. They are not intended for consumer orders. Under these terms we provide services only to clients established in the Czech Republic. Merely stating an Identification No. (IČO) does not replace an assessment of the purpose of the order.
1.3 These terms govern an individually ordered risk analysis of the tender documentation of a public contract. Ongoing cooperation, subscriptions and other separate products are not covered by them unless the parties expressly agree on their application and agree on the corresponding scope, price and other necessary rules.
1.4 The specific scope of the service, its price and its deadline are agreed separately for each assignment. Express individual provisions of the contract take precedence over these terms. The web form is a non-binding inquiry.
2. Nature and limits of the service
2.1 We undertake to properly prepare the agreed risk analysis. The service consists of the analytical processing of the agreed documents, recording findings, ambiguities and risks, and explaining them clearly within the agreed scope. It is intended for suppliers across sectors; accepting a particular assignment depends on its scope being agreed in advance and on the Provider's ability to carry it out properly.
2.2 We are not a law firm and do not provide legal services of an attorney (advokát). The analysis is analytical input for the client's decision-making and for any assessment by the client's attorney. It does not replace legal advice or a final legal assessment of the specific matter. We do not take on representing the client, or drafting or filing objections, petitions to the Office for the Protection of Competition (ÚOHS) or court submissions. Legal services reserved to authorised persons are not part of the order.
2.3 The subject of the contract is the agreed analytical work, not procuring an outcome of the award procedure. We do not guarantee that the client will win the public contract. The client's lack of success alone does not prove a defect in the analysis; this does not exclude liability for breach of our obligations.
2.4 The output is based on the documents and their versions specified in the order or later expressly accepted for processing. In the output we identify the documents used, the reference date, material limitations and findings that cannot be verified from the information available. Unless otherwise agreed, later changes to the documentation and ongoing monitoring of the public contract are not part of an analysis already completed.
2.5 We may use automated analytical tools to prepare the analysis. We are responsible for the proper performance of the agreed service, and a person checks the output before delivery. The use of tools does not limit the obligations to protect confidential information and personal data under Article 11.
3. Inquiry, offer and conclusion of the contract
3.1 Neither sending an inquiry nor an automatic confirmation of its receipt concludes a contract, and the client incurs no obligation to pay for the service.
3.2 After assessing the inquiry, we send the client a specific offer by e-mail. The offer contains at least the identification of the parties and of the public contract, the scope and form of the output, a list of the documents required, the fixed total price, the included consultation, the payment method, the amounts of the advance payment and the balance, the delivery date or the method of determining it, and the period of validity of the offer. We attach the complete terms marked with their version; a link to a page that may change later, without the possibility of preserving the accepted wording, is not sufficient.
3.3 The contract is concluded when an express and unconditional acceptance of the specific offer and of the attached version of these terms is delivered to the Provider's contact e-mail within the period of validity of the offer. In the acceptance the client identifies the offer, confirms the business purpose of the order and states its billing details. A reply containing changes or reservations requires a new express agreement; neither silence nor the inquiry alone constitutes consent.
3.4 We confirm the conclusion of the contract to the client by e-mail and send the agreed content of the order, the accepted terms and payment instructions. This confirmation adds no new terms and is not a further requirement for the formation of a contract already concluded. For the purposes of any agreed reminder about documents, it is the confirmation of cooperation under Article 5.4.
3.5 Extending the brief, or changing the price or the deadline, requires prior express agreement by e-mail. We do not treat correcting our own error, or ordinary clarification of documents necessary to fulfil the original scope, as a paid extension.
4. Price, consultation and payments
4.1 The price of the analysis is fixed and is stated in the accepted offer in Czech crowns (CZK) excluding VAT. The Provider, Ladislav Blecha (ID No. 01670816), is a VAT payer from 1 November 2026. We add VAT at the statutory rate to the price excluding VAT; on the date these terms were issued the rate is 21%. The offer and the invoice state the price excluding VAT, the amount of VAT and the total amount payable separately. Any later change in tax status does not by itself increase the total price already agreed.
4.2 The client pays 50% of the agreed price of the assignment including VAT before processing starts and the remaining 50% after the completed analysis has been delivered. This split applies to payment by bank transfer and via Stripe alike. The client receives the specific payment details or payment link in the payment instructions. The due date of the advance payment is set in the offer; its payment is a condition for starting processing, not the moment the contract is formed.
4.3 The balance is due within seven calendar days from the moment the client has received both the completed analysis and the invoice for its payment. If the invoice is delivered before the completed analysis, or vice versa, the period runs only from delivery of the later of the two documents. We send invoices to the client by e-mail. The date stated on the invoice does not shorten this period.
4.4 The price of the analysis includes one 30-minute consultation intended to explain the delivered output. We agree the date and form of the consultation with the client. Scheduling this consultation for a later agreed date does not by itself postpone delivery of the completed written analysis or the start of the period for paying the balance. The client's right to the included consultation does not lapse as a result.
4.5 We provide further consultations only after the client has expressly approved their scope and price in advance. The price is CZK 2,000 excluding VAT per agreed 15-minute block, i.e. CZK 8,000 excluding VAT per hour; we add VAT to it under Article 4.1. We agree in advance the number of blocks or another expressly approved method of pricing; these terms do not introduce automatic rounding up of every quarter-hour started. Exceeding the approved scope requires the client's further consent.
4.6 Necessary obtaining and clarification of the agreed documents, and remedying our own defects, are not additionally paid consultations. The consultation rate is not an automatic rate for administration or for settling an assignment in progress on its cancellation.
5. Documents and cooperation
5.1 The client supplies the agreed documents, their relevant annexes and changes known to it in good time, and draws attention to known deadlines and the required purpose of the analysis. It provides only information it is entitled to pass on for processing. It passes on personal data and sensitive business information only to the extent necessary for the order.
5.2 The Provider points out without undue delay any obvious incompleteness, inconsistency or unsuitability of the documents that it discovers during proper processing, and asks for the necessary additions. The client's obligation to supply documents does not relieve the Provider of liability for its own agreed work.
5.3 If the client does not supply the agreed documents, or additions requested under Article 5.2, in good time, we may suspend work and the delivery deadline is extended by the period of the delay, without any sanction for us. This rule applies only to an actual delay caused by missing documents or additions. We inform the client of the reason for the suspension and its effect on the agreed deadline. It gives no right to charge a new fee or to disclaim liability for any other failure of our own.
5.4 If the client expressly chooses this in advance, we send it, free of charge, one reminder about missing agreed documents two calendar days after the confirmation of cooperation under Article 3.4, and only if the documents are still missing at that time. We send the reminder even if that day falls on a Saturday, Sunday or public holiday; the postponement of the last day of a period under Article 13.3 does not apply to this reminder. Consent is not pre-selected. Not giving consent does not change the client's rights or the other terms of the service. The reminder is not a condition for extending the deadline under Article 5.3, nor does it replace notice of a specific problem identified.
6. Start, delivery and deadlines
6.1 We start processing, and the processing period agreed in the offer starts to run, only once we have both the advance payment and all the agreed documents. The advance payment is available, for payment by bank transfer, at the moment it is credited to our account and, for payment via Stripe, at the moment Stripe confirms the successful payment. The decisive moment is when the later of the two conditions is met. We confirm to the client by e-mail that these conditions have been met and the specific delivery date. The confirmation records the actual moment they were met; sending it later does not postpone the start of the processing period.
6.2 The offer must specify the length of processing and the rules for counting it, or a specific delivery date and the assumptions for meeting it. Known deadlines of the award procedure must not be presented as automatically extended by a postponement of the deadline for our analysis. If we find that the agreed purpose or deadline cannot be met, we warn the client without undue delay.
6.3 We deliver the completed written analysis to the client's e-mail as a file or via agreed secure access that allows the client to obtain and keep the output. Merely sending a non-functional link or a file that cannot be opened is not proper delivery. Providing the output or downloading it does not constitute a waiver of rights arising from defects.
7. Late payment
7.1 If the client does not pay a payment due for the assignment, we send it a written demand for payment and grant it a reasonable additional period.
7.2 If it does not pay within that period either, we may suspend further work not yet performed on that assignment until payment is made. We inform the client of the suspension. This provision introduces no contractual penalty, no automatic extension of the deadline and no special right to terminate the assignment. An analysis already delivered cannot retrospectively be treated as not delivered.
8. Cancellation of the assignment by the client and settlement
8.1 The client may cancel the assignment by a notice delivered to the Provider's contact e-mail. On cancellation we prepare the settlement and initiate the return of any overpayment without undue delay, and at the latest within fourteen calendar days from delivery of the client's cancellation notice. Article 13.4 governs the procedure for returning the money and its subsequent crediting.
8.2 If the client cancels the assignment before any work on the assignment has started, we return the entire advance payment paid and any other amounts it has already paid for this assignment.
8.3 If the client cancels the assignment only after work has started, we charge only for the work we have demonstrably performed up to its cancellation. Merely accepting the order or reserving capacity does not give rise to a claim to a flat cancellation fee or to retain the advance payment.
8.4 We include administrative work in the settlement only if we actually performed it and clearly agreed with the client in advance that it would be charged, including its price or method of calculation. We do not charge general overheads as separate administrative work.
8.5 The client receives a clear itemised settlement setting out a description and the extent of the work performed, the method of its valuation and the resulting amount. We do not automatically use the rate for separately ordered consultations to value an analysis in progress or administration. The total amount charged on cancellation of the assignment will not exceed the agreed price of that assignment. These terms set no universal hourly or percentage formula for valuing an analysis in progress.
8.6 We deduct all payments already received, including the advance payment, from the amount charged. We settle any overpayment under Articles 8.1 and 13.4; any shortfall is stated in the settlement and an invoice, due seven calendar days after both have been delivered to the client. The advance payment is refundable in accordance with these terms (it is not a non-refundable deposit), and we charge no percentage cancellation fee. Waiting for a later agreement on the settlement does not postpone the period under Article 8.1.
9. Non-completion for reasons on the Provider's side
9.1 As soon as we find that we cannot complete the assignment for reasons on our side, we notify the client without undue delay (the "notice of ending the work").
9.2 If we cannot complete the assignment for reasons on our side and do not deliver a usable output to the client, we return all amounts paid for this assignment, including the entire advance payment. We deduct no overheads, administration or other internal costs of ours from them.
9.3 If we have already completed a usable part of the output, we may charge for it only if the client expressly accepts that particular partial output and at the same time approves its particular price. Merely sending or receiving the file, or the client's silence, does not replace this consent. Without such consent we return all amounts paid for the assignment.
9.4 On acceptance of a partial output the client receives a clear settlement. We deduct the approved price from the payments already received and return the remainder. The price of the accepted partial output will not exceed the originally agreed price of the assignment.
9.5 We initiate the return of amounts under this Article without undue delay, and at the latest within fourteen calendar days from delivery of our notice of ending the work to the client, following the procedure under Article 13.4. We must not delay the notice in order to postpone the start of the period. Waiting for acceptance of a partial output and its price does not extend the period; without timely express consent we deduct nothing.
9.6 The usability of an output is assessed according to the agreed scope and purpose of the order. The client's lack of success in the public contract alone does not mean that the output delivered is not usable. This Article does not govern termination for the client's non-payment or failure to cooperate; the statutory rights of the parties are not affected.
10. Defects, complaints and compensation for damage
10.1 If the output has a defect, the client notifies us of it without undue delay and we remedy it within a reasonable period. The client may send the notice to the Provider's contact e-mail, identifying the assignment and describing the defect. We confirm receipt of the notice and state the expected procedure and date of remedy, taking into account the nature of the defect and the deadlines of the public contract known to us.
10.2 A defect is in particular a discrepancy with the agreed scope or an incorrect conclusion within the agreed processing. A new requirement, or a change to the documentation occurring after the reference date, is not by itself a defect of the original analysis. We do not charge for correcting our own defect. Charging for a genuinely new brief requires prior agreement under Article 3.5.
10.3 This procedure neither excludes nor shortens the rights arising from defective performance or other claims of the client under the law. These terms introduce no new preclusive (forfeiture) period for notifying a defect, no fiction of defect-free acceptance and no obligation to waive a claim in exchange for a refund.
10.4 We are liable, in accordance with the contract and Act No. 89/2012 Coll., the Civil Code, as amended, for damage caused by a breach of our obligations. These terms set no contractual financial cap on compensation for damage and no blanket exclusion of particular types of damage. Refunds and settlement under Articles 8 and 9 do not affect the client's other statutory rights.
11. Confidentiality and personal data
11.1 We use non-public documents, business information and the content of an individual analysis only to perform the contract, for related communication and to comply with legal obligations. Without the client's prior consent we do not publish them as a reference, sample or marketing material. The duty of confidentiality continues after the assignment ends; it does not apply to information demonstrably public without a breach of this duty, or to disclosure required by law.
11.2 We restrict access to the persons and tools necessary for performance, with appropriate contractual and security measures. We do not pass confidential documents or personal data to a tool or recipient that does not meet the relevant conditions for protection and lawfulness of processing. This is not an attorney's duty of confidentiality, and the contract does not promise such legal protection.
11.3 The Provider processes personal data under Regulation (EU) 2016/679 of the European Parliament and of the Council (GDPR) and related legislation. The specific purposes, legal bases, recipients, any transfers outside the European Economic Area, retention periods and the rights of data subjects are described in the privacy policy, which the client receives with the offer or to which the offer refers directly. Accepting these terms is not general consent to any further processing, to marketing or to the use of documents for other purposes.
11.4 If a particular assignment requires us to process personal data on the client's behalf as its processor, we agree appropriate terms under Article 28 GDPR before the data are passed on. Any special requirements for confidentiality or security are agreed before the documents concerned are accepted. If they cannot be met, we do not accept the documents in that way.
12. Use of the output
12.1 The client may use the delivered output for the agreed purpose and make it available to persons it needs for that purpose, in particular its staff and professional advisers including its attorney. This does not restrict its statutory information or procedural obligations. Rights to the client's original documents remain with the persons entitled to them.
12.2 When using the output, the connection between the findings and the identified documents, their versions and the stated limitations must be preserved. The client makes the decision to submit a tender and on other business or legal steps. This rule does not shift to the client the Provider's liability for its own breach of contract.
13. Communication and counting of periods
13.1 Offers, acceptances, changes to the brief, cancellation notices and complaints are sent to the contact e-mail addresses stated in the order and in Article 1.1, or to a substitute address whose use the parties expressly confirm. Each party notifies a change of its contact address without undue delay.
13.2 For delivery, the decisive moment is when the message reaches the recipient's sphere of control so that the recipient has an objective opportunity to become acquainted with it, in accordance with the applicable legislation. These terms introduce no fiction of delivery by mere sending. A returned or demonstrably undelivered message cannot be treated as delivered; the parties arrange an alternative method of delivery without undue delay.
13.3 For periods in calendar days, the day of the triggering event is not counted. If the last day of a period falls on a Saturday, Sunday or public holiday, the statutory rule in Section 607 of the Civil Code applies and the last day is the next working day. For the agreed processing period, working days mean Monday to Friday excluding public holidays in the Czech Republic. Times are interpreted according to the time in the Czech Republic.
13.4 The periods under Articles 8.1 and 9.5 set the latest time for the settlement, where required, and for the proper initiation of the return of money on our part. For a return by bank transfer we submit a proper and funded payment order; for a return via Stripe we properly submit the refund and ensure the necessary funding on our side. A mere internal marking of a refund, an instruction that has not been accepted, or waiting for our own missing funds does not fulfil this obligation. We usually return money by the original payment method; we agree any other procedure with the client in accordance with the rules of the payment service concerned.
The subsequent crediting depends on processing by the payment service and the client's bank; we do not guarantee a specific crediting date. We do not regard the initiation of a refund by itself as proof that the client has already received the amount concerned or that the claim to its return has been extinguished. We monitor the progress of the refund, inform the client without undue delay of any delay or failure we discover, and ensure the necessary solution, including any agreed alternative method. We prevent the same amount from being returned twice. These rules do not exclude the Provider's statutory liability or the client's rights if a refund is not made.
14. Governing law, language and versions
14.1 The contract is governed by the law of the Czech Republic, in particular Act No. 89/2012 Coll., the Civil Code, as amended. The contract does not change the statutory rules on the jurisdiction of courts. The parties will first try to resolve any dispute through direct negotiation; this does not restrict the right to go to court or the obligation to observe statutory deadlines.
14.2 In the event of any conflict between the Czech and English versions of these terms of business, the Czech version prevails. Publishing the English translation does not change the range of clients under Article 1.2.
14.3 The version of the terms attached to the accepted offer applies to a particular contract. A later change to the website or the terms does not by itself change that contract. A change to an existing contract requires agreement of the parties, unless the law provides otherwise.
14.4 The terms must be available to the client before the contract is concluded, and after its conclusion the accepted wording remains available to the client in a durable form. Publication on the website does not replace sending the particular version with the offer and the subsequent order confirmation.
